A Memorandum of Agreement (MOA) is one of the most versatile legal instruments in Philippine practice. It is used by government agencies and private entities to formalize partnerships, service collaborations, joint undertakings, and resource-sharing arrangements. Unlike a simple letter of intent, a properly drafted MOA creates binding obligations on both parties enforceable under the Civil Code.

Step 1: Log In and Open Your Dashboard

Step 4: Review the Live Preview

Is a Memorandum of Agreement legally binding in the Philippines?
Yes. A properly executed MOA is a binding contract under the Civil Code of the Philippines. It must contain the essential elements of a valid contract: consent of the parties, a determinate object, and a cause or consideration. Both parties must sign the document, and notarization strengthens its enforceability.
What is the difference between an MOA and an MOU?
In Philippine practice, a Memorandum of Agreement (MOA) typically creates binding obligations between the parties, while a Memorandum of Understanding (MOU) expresses a shared intent to cooperate but may not impose enforceable duties. Does an MOA need to be notarized?
