Each guide below explains the required clauses, the relevant Philippine law, and includes a free sample. Pick the contract you need:

What Makes a Contract Valid in the Philippines

Under Article 1318 of the Civil Code, a valid contract needs three essential requisites:

  • Consent — both parties freely agree to the same terms
  • Object — a definite thing, right, or service that is the subject of the contract
  • Cause — the consideration or reason each party enters the agreement

Once these exist, the contract binds the parties even if it is not notarized. Notarization makes it a public document with stronger evidentiary value and is required for certain transactions (for example, dealings over registered land that must be annotated on the title).

Why Generate Instead of Copy-Pasting an Old Contract

  • Correct clauses every time — the mandatory provisions for each contract type are always present
  • No leftover details — each generation starts fresh, so a previous party's name never slips through
  • Philippine legal language — Civil Code articles, RA references, and notarial blocks where they belong
  • Preview before printing — see exactly what the parties and notary will sign

Frequently Asked Questions

Do I need a paid plan to generate these contracts?
The guides and samples on this page are free to read. Generating the contracts requires a paid plan: the Contract of Lease, NDA, Contract to Sell, Promissory Note, and Acknowledgment of Debt are on Pro, while the Employment Contract, Independent Contractor Agreement, and Memorandum of Agreement are on Ultra. Legalia's free plan covers affidavits, the Sworn Statement, and the Acknowledgment Receipt.
Do contracts in the Philippines need to be notarized to be valid?
As a rule, a contract is valid and binding between the parties from the moment of consent — notarization is not required for validity. However, notarization converts the contract into a public document with stronger evidentiary weight, and certain contracts (e.g. those involving registered land) must be notarized to be registered or to bind third parties.
What makes a contract legally binding in the Philippines?
Under the Civil Code, a contract requires consent of the parties, a certain object, and a cause or consideration. The parties must have capacity to contract, and the object and cause must be lawful. Putting the agreement in clear written form protects both sides if a dispute arises.
Can I use one contract template for different transactions?
Use the right template for each transaction type — a lease, an employment contract, and a loan acknowledgment have very different required clauses. Generating from the correct guide ensures the mandatory provisions and Philippine legal language are in place.
