Under Article 1318 of the Civil Code, a valid contract needs three essential requisites:
- Consent — both parties freely agree to the same terms
- Object — a definite thing, right, or service that is the subject of the contract
- Cause — the consideration or reason each party enters the agreement
Once these exist, the contract binds the parties even if it is not notarized. Notarization makes it a public document with stronger evidentiary value and is required for certain transactions (for example, dealings over registered land that must be annotated on the title).
